Terms & Conditions Online-Shop
§ 1 Scope
The version of these Terms and Conditions in effect at the time of contract conclusion shall apply. Any conflicting or supplementary terms issued by a business customer shall only become part of the contract if we have expressly agreed to them in writing.
(1) These General Terms and Conditions apply to all contracts concluded between Yoga Studio Fox – Happy & Free GmbH, represented by Maja Mast, Im langen Hau 1, 70565 Stuttgart (hereinafter referred to as “we”, “us” or “Yoga Studio Fox”) and a consumer or business customer (“Customer”) via the website www.yogastudiofox.com.
(2) A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession (§ 13 BGB). A business customer is any natural or legal person or partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of their trade or self-employed professional activity (§ 14 (1) BGB).
(3) Die allgemeinen Geschäftsbedingungen gelten in der jeweiligen, zum Zeitpunkt des Vertragsschlusses aktuellen Fassung. Verwendet der Kunde als Unternehmer entgegenstehende oder ergänzende allgemeine Geschäftsbedingungen, so werden diese nur dann Vertragsbestandteil, wenn wir diesen ausdrücklich zugestimmt haben.
§ 2 Conclusion of Contract
(1) The contractual partner is Yoga Studio Fox.
(2) The presentation of products and services in our online shop does not constitute a legally binding offer, but rather a non-binding invitation to place an order.
(3) Our offering includes various products, including digital courses, scheduled classes, workshops, and specials listed on our website.
Customers may place digital courses in the online shopping basket without obligation. Before finalising the order, the customer can review the basket contents and correct entries. After entering billing details (marked mandatory fields), the customer must accept the Terms & Conditions, Privacy Policy and Cancellation Policy via checkbox. The order process cannot continue without consent. By clicking the final purchase button, the customer submits a binding offer. Immediately after placing the order, the customer receives an automatic confirmation by email. Courses from the “Schedule”, “Workshops” and “Specials” sections are booked via the Eversports platform.
(4) The contract language is English.
§ 3 Payment
(1) All prices include VAT, unless a legal VAT exemption applies.
(2) We accept the following payment methods: PayPal, bank transfer/instant transfer, instalment payment, Klarna, and credit card (Visa, Mastercard, American Express).
(3) We do not charge additional fees for payment methods. However, international bank transfers may incur fees from your bank, which are borne by the customer.
(4) If the customer exercises their right to cancel, they are responsible for any costs incurred in processing the refund.
§ 4 Access and Use of Products
(1) Use of the product requires full completion of the order and receipt of payment. In the case of instalment payments, the first payment must be made before access is granted. The full amount must be paid before the end of the course.
(2) Upon booking live online or on-demand courses (or a combination), the customer receives non-transferable, personal access to the content for private use only, in accordance with copyright law. Access may be granted via password-protected page, a link in the confirmation email, or via customer account.
(3) Upon booking downloadable PDFs or streaming-only audio files, the customer receives access via a download link or through their customer account.
(4) For in-studio, hybrid or online classes booked via the schedule, access is provided via a non-transferable link in the customer’s Eversports account.
(5) Access data is valid for one user only and may not be shared.
(6) The right of use begins once Yoga Studio Fox provides access (e.g. download, stream, link).
(7) Access is generally available for a minimum of 14 days. For recorded content of online teacher trainings (e.g. Children’s Yoga, Pre/Postnatal Yoga, Mindfulness for Children, Meditation Training, Yoga Philosophy, 200hr Yoga Teacher Training), access is granted for a minimum of 2 months after the final live session.
(8) Customers are responsible for downloading and using content within the time frame.
(9) Files may be transferred between the customer’s personal devices for private use. It is strictly prohibited to edit, share, resell, publicly distribute or commercialise the files in any way.
(10) In case of misuse or breach of clause §4.5, we reserve the right to block access without refund.
§ 5 Cancellation & Refunds
(1) If a course is cancelled due to fewer than 10 participants or overbooking, we may cancel the course and will issue a full refund promptly.
(2) If a participant fails to attend a course or workshop, no refund will be issued.
(3) Cancellation of a booking is only free of charge within 14 days of booking, and only if not already accessed or begun.
(4) No right of cancellation applies to services that have already started and been completed within the 14-day cancellation period (e.g. on-demand content, PDFs, audio files, Zoom-linked online courses).
§ 6 Payment Terms, Set-Off & Retention
(1) Payment is due no later than 10 days after booking. Failure to pay on time may result in the cancellation of your reservation and reallocation of the place.
(2) Set-off is only permitted against undisputed or legally established claims. Set-off related to the same contract is permitted.
§ 7 Liability
(1) We are liable for damages caused by intent or gross negligence under statutory provisions.
(2) In other cases, we are only liable for breaches of essential contractual obligations (cardinal obligations), and limited to foreseeable damages typical for the contract.
(3) Liability for injury to life, limb, or health, or under product liability law, remains unaffected.
(4) We accept no liability for internet transmission errors or outages during live sessions.
(5) Yoga Studio Fox accepts no responsibility for the content of external linked websites.
§ 8 Data Protection
Personal data is processed for the fulfilment of our contractual obligations in accordance with Art. 6 (1)(b) GDPR.
For live online trainings, customers may control what personal data (e.g. video/audio) is shared, based on the settings of the video conferencing provider (e.g. Zoom). Data is stored and used solely for contractual purposes and will only be shared with third parties necessary for order fulfilment (e.g. payment or platform providers).
§ 9 Copyright
All content (images, videos, text) on our website is protected by copyright. Use without prior written consent is prohibited.
§ 10 Final Provisions
(1) If any provision is found to be invalid, the remaining provisions remain unaffected.
(2) Changes to these Terms & Conditions must be made in writing.
(3) No verbal side agreements exist.
§ 11 Applicable Law & Jurisdiction
(1) German law applies. The UN Convention on Contracts for the International Sale of Goods does not apply. Mandatory consumer protection laws of the customer’s country of residence remain unaffected.
(2) If the customer is a merchant or legal entity under public law, the exclusive jurisdiction is Stuttgart, Germany.
Consumer Right to Cancel
If you are a consumer (i.e. a natural person acting for purposes that are wholly or mainly outside your trade, business or profession), you are entitled to cancel this contract under applicable statutory provisions.

Cancellation Policy
You have the right to cancel this contract within fourteen (14) days without giving any reason.
The cancellation period will expire:
For physical goods: fourteen (14) days from the day on which you, or a third party other than the carrier and indicated by you, takes physical possession of the goods. For digital content not supplied on a tangible medium (e.g. downloads, on-demand videos): fourteen (14) days from the date the contract was concluded.

by means of a clear declaration (e.g. a letter sent by post or email) of your decision to cancel this contract. You may use the attached model cancellation form, but it is not obligatory.
To meet the cancellation deadline, it is sufficient for you to send your communication concerning the exercise of the right to cancel before the cancellation period has expired.
Effects of Cancellation
If you cancel this contract, we will refund all payments received from you, including delivery charges (if any), no later than 14 days from the day we receive your cancellation notice.
We will use the same payment method used for the original transaction unless otherwise agreed. You will not be charged any fees for the refund.
Exclusions from the Right to Cancel
You cannot cancel:
Contracts for digital content not supplied on a physical medium, where you have expressly consented to execution before the cancellation period ends, and confirmed that you lose your right to cancel once performance begins.
Bundles of online training programmes with downloadable or on-demand content: only the portion relating to the live online training will be refunded, provided the cancellation period is met.
Downloadable and on-demand content or products with instant Zoom access are non-refundable. Refunds will not be issued for these components, even partially, and are based on the original price, not any reduced bundle rate.
